Terms of Service
Please read these terms carefully before engaging SimSim Agency for services.
Agreement to Terms
By using SimSim Agency's services, you agree to these terms. If you do not agree, you should not use our services.
Services Provided
SimSim Agency provides web design, web application development, IT support, digital strategy, infrastructure solutions, and ongoing maintenance. The specific scope, deliverables, and timelines for each project will be defined in a separate written proposal or agreement.
Client Responsibilities
You are responsible for providing accurate information, content, access credentials, and timely feedback. Delays caused by you may result in adjusted timelines and additional charges.
Payment Terms
Payment terms, deposit amounts, and milestones will be outlined in each project proposal. All deposits are non-refundable. Invoices not paid within 15 days of the due date may be subject to a late fee. SimSim Agency reserves the right to pause or suspend work on any project with an outstanding balance. Final deliverables, source code, and access credentials will not be released until payment is received in full.
Cancellation
If you cancel a project after a deposit has been made, the deposit is forfeited. Work completed beyond the deposit amount will still be invoiced and due upon cancellation.
Intellectual Property
Upon full payment, you receive ownership of the final deliverables created specifically for you. SimSim Agency retains the right to reuse general frameworks, tools, code libraries, and reusable components built during the project. SimSim Agency also retains a copy of all project files for internal records. SimSim Agency reserves the right to showcase completed work in its portfolio unless you request otherwise in writing.
Revisions and Scope Changes
Each project includes a defined number of revision rounds as outlined in the project proposal. Requests beyond the agreed scope may be subject to additional charges.
Limitation of Liability
SimSim Agency is not liable for any indirect, incidental, or consequential damages arising from the use of our services or deliverables. Our total liability shall not exceed the amount paid by you for the specific project in question.
No Guarantee of Results
While we build with best practices in mind, SimSim Agency does not guarantee specific business outcomes such as traffic, revenue, or search engine rankings.
Termination
Either party may terminate a project with written notice. If you terminate, payment is due for all work completed up to the termination date. If you are unresponsive for more than 30 days, SimSim Agency reserves the right to terminate the project.
Indemnification
You agree to indemnify and hold harmless SimSim Agency from any claims, damages, or expenses arising from content, materials, or information you provide.
Third-Party Services
SimSim Agency may integrate third-party tools, APIs, or platforms as part of a project. We are not responsible for outages, changes, or issues caused by third-party providers.
Governing Law
These terms are governed by the laws of the State of New York. Any disputes shall be resolved in the courts located in Kings County, Brooklyn, New York.
Changes to Terms
SimSim Agency reserves the right to update these terms at any time. Continued use of our services after changes constitutes acceptance.
